Common use of Enforceability; Severability Clause in Contracts

Enforceability; Severability. If any provision of this Agreement shall be invalid or unenforceable, in whole or in part, such provision shall be deemed to be modified or restricted to the extent and in the manner necessary to render the same valid and enforceable, or shall be deemed excised from this Agreement, as the case may require, and this Agreement shall be construed and enforced to the maximum extent permitted by law as if such provision had been originally incorporated herein as so modified or restricted, or as if such provision had not been originally incorporated herein, as the case may be.

Enforceability; Severability. If any provision of this Agreement shall be invalid or unenforceable, in whole or in part, such provision shall be deemed to be modified or restricted to the extent and in the manner necessary to render the same valid and enforceable, or shall be deemed excised exercised from this Agreement, as the case may require, and this Agreement shall be construed and enforced to the maximum extent permitted by law as if such provision had been originally incorporated herein as so modified or restricted, or as if such provision had not been originally incorporated herein, as the case may be.

If any provision of this Agreement shall be deemed invalid or unenforceable, unenforceable in whole or in part, such provision shall be deemed to be modified or restricted to the extent and in the manner necessary to render the same valid and enforceable, or shall be deemed excised from this Agreement, as the case may require, and this Agreement shall be construed and enforced to the maximum extent permitted by law as if such provision had been originally incorporated herein as so modified or restricted, or as if such provision had not been originally incorporated herein, as the case may be.

If Wherever possible, each provision of this Agreement shall be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Agreement shall be prohibited by, unenforceable or invalid or unenforceable, in whole or in partunder any jurisdiction, such provision shall as to such jurisdiction, be deemed to severable and be modified or restricted ineffective to the extent and in of such prohibition or invalidity, without invalidating the manner necessary to render the same valid and enforceable, or shall be deemed excised from this Agreement, as the case may require, and remaining provisions of this Agreement shall be construed and enforced to or affecting the maximum extent permitted by law as if validity or enforceability of such provision had been originally incorporated herein as so modified or restricted, or as if such provision had not been originally incorporated herein, as the case may bein any other jurisdiction.

If any provision of this Agreement shall is adjudicated to be invalid or unenforceable, in whole or in part, then such provision shall be deemed modified so as to be modified or restricted to the extent and in the manner necessary to render the same valid and enforceableenforceable or, or shall be deemed excised from this Agreementif required, deleted herefrom, as the case may requirebe, to render the remainder of this Agreement valid and enforceable. The invalidity or unenforceability of any provision of this Agreement shall not affect the other provisions hereof, and this Agreement shall be construed and enforced to the maximum extent permitted by law in all respects as if such invalid or unenforceable provision had been originally incorporated herein as so modified or restricted, or as if such provision had not been originally incorporated herein, as the case may bewere omitted.

The invalidity or unenforceability of any provision of this Agreement shall be deemed excised from this Agreement, as not affect the case may requireother provisions hereof, and this Agreement shall be construed and enforced to the maximum extent permitted by law in all respects as if such invalid or unenforceable provision had been originally incorporated herein as so modified or restricted, or as if such provision had not been originally incorporated herein, as the case may bewere omitted.

If any Each provision of this Agreement shall be invalid enforceable in accordance with its terms to the fullest extent permitted by law, but in case any one or unenforceablemore of the provisions contained in this Agreement shall, for any reason, be held to be invalid, illegal or unenforceable in whole or in partany respect, such invalidity, illegality or unenforceability shall not affect any other provision shall be deemed to be modified or restricted to the extent and in the manner necessary to render the same valid and enforceable, or shall be deemed excised from of this Agreement, as the case may require, and this Agreement shall be construed and enforced to the maximum extent permitted by law as if such invalid, illegal or unenforceable provision or provisions had never been originally incorporated herein as so modified or restricted, or as if such provision had not been originally incorporated contained herein, as the case may be.
