ENFORCEMENT AND BINDING EFFECT. (a) Without limiting any of the rights of Indemnitee under the Bylaws of the Company as they may be amended from time to time, this Agreement constitutes the entire agreement between the parties hereto with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral, written and implied, between the parties hereto with respect to the subject matter hereof.

For the avoidance of doubt, this Agreement supersedes and replaces any Prior Agreement in its entirety and any such Prior Agreement shall terminate and be of no further force and effect.
