Common use of Enforcement and preservation costs Clause in Contracts

Enforcement and preservation costs. The Company shall, within five Business Days of demand, pay to each Finance Party the amount of all costs and expenses (including legal fees, disbursements and other out of pocket expenses) incurred by it in connection with the enforcement of or the preservation of any rights under any Finance Document and the Transaction Security and any proceedings instituted by or against the Security Agent as a consequence of taking or holding the Transaction Security or enforcing these rights. SECTION 7 GUARANTEE

Enforcement and preservation costs. The Company shall, within five Business Days of written demand, pay to each Finance Secured Party the amount of all costs and expenses (including legal fees, disbursements and other out of pocket expenses) properly incurred by it that Secured Party in connection with the enforcement of of, or the preservation of any rights under under, any Finance Document and or the Transaction Security and with any proceedings instituted by or against the Security Agent that Secured Party as a consequence of it entering into a Finance Document or taking or holding the Transaction Security Security, or enforcing these those rights. SECTION 7 GUARANTEE.

The Company shall, within five Business Days of demand, pay (or procure payment) to each Finance Party the amount of all costs and expenses (including legal fees, disbursements fees and other out of pocket expensesnotarial costs) incurred by it that Finance Party, Arrangers or Delegate in connection with the enforcement of or the preservation of any rights rights, powers and remedies under any PIK Finance Document and the Transaction Security and any proceedings instituted by or against the Security Agent as a consequence of taking or holding the Transaction Security or enforcing these rights. The Company shall, within five Business Days of written demand, pay to the Arranger and each Finance other Secured Party the amount of all costs and expenses (including legal fees, disbursements and other out of pocket expenses) incurred by it in connection with the enforcement of preservation or the preservation enforcement of any rights under any Finance Document and the Transaction Security (in the case of any enforcement of Transaction Security, only following the Acceleration Date) and any proceedings instituted by or against the Security Agent as a consequence of taking or holding the Transaction Security or enforcing these rights. SECTION 7 GUARANTEE.
