Common use of Enforcement of Foreign Judgments Clause in Contracts

Enforcement of Foreign Judgments. Any final judgment for a fixed or determined sum of money rendered by any U.S. federal or New York state court located in the State of New York having jurisdiction under its own laws in respect of any suit, action or proceeding against the Company based upon this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus would be declared enforceable against the Company by the courts of Bermuda, without reconsideration or reexamination of the merits.

Any final judgment for a fixed or determined sum of money rendered by any U.S. federal or New York state court located in the State of New York having jurisdiction under its own laws in respect of any suit, action or proceeding against the Company Selling Shareholder based upon this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus Agreement would be declared enforceable against the Company Selling Shareholder by the courts of BermudaSouth Africa, without reconsideration or reexamination of the merits, subject to the qualifications contained in the opinion delivered pursuant to Section 9(j) hereof.

Any final judgment for a fixed or determined sum of money rendered by any U.S. federal or New York state court located in the State of New York having jurisdiction under its own laws in respect of any suit, action or proceeding against the Company such Selling Stockholder based upon this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus Agreement would be declared enforceable against the Company by the courts of Bermudathe HKSAR, without reconsideration or reexamination of the merits.

Enforcement of Foreign Judgments. Any final judgment for a fixed or determined sum of money rendered by any U.S. federal or New York state court located in the State of New York having jurisdiction under its own laws in respect of any suit, action or proceeding against the Company based upon this Agreementany of the Transaction Documents would, the Registration Statementas a rule, the Pricing Disclosure Package and the Prospectus would be declared enforceable against the Company by the courts of Bermuda, without reconsideration or reexamination of the meritsSwitzerland.

Enforcement of Foreign Judgments. Any final judgment for a fixed or determined sum of money rendered by any U.S. federal or New York state court located in the State of New York having jurisdiction under its own laws in respect of any suit, action or proceeding against the Company or Carnival plc based upon this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus Agreement would be declared enforceable against the Company or Carnival plc by the courts of Bermudathe Republic of Panama and United Kingdom, without reconsideration or reexamination of the merits.

Enforcement of Foreign Judgments. Any final judgment for a fixed or determined sum of money rendered by any U.S. federal or New York state court located in the State of New York having jurisdiction under its own laws in respect of any suit, action or proceeding against the Company such Selling Shareholder based upon this Agreement, any of the Registration Statement, the Pricing Disclosure Package and the Prospectus Transaction Documents would be declared enforceable against the Company such Selling Shareholder by the courts of Bermuda, such Selling Shareholder’s Relevant Selling Shareholder Jurisdiction without reconsideration or reexamination of the merits.

Any final judgment for a fixed or determined sum of money rendered by any U.S. federal or New York state court located in the State of New York having jurisdiction under its own laws in respect of any suit, action or proceeding against the Company based upon this Agreement, the Registration Statement, the Pricing Disclosure Package and the Prospectus Agreement would be declared enforceable against the Company by the courts of BermudaBritish Columbia or Canada, without reconsideration or reexamination re-examination of the merits.

Any final judgment for a fixed or determined sum of money rendered by any U.S. federal or New York state court located in the State of New York having jurisdiction under its own laws in respect of any suit, action or proceeding against the Company and its subsidiaries based upon this Agreement, any of the Registration Statement, the Pricing Disclosure Package and the Prospectus Transaction Documents would be declared enforceable against the Company and its subsidiaries by the courts of Bermuda, Colombia and Panamá without reconsideration or reexamination of the merits.
