Common use of Enforcement of License Agreements Clause in Contracts

Enforcement of License Agreements. RESELLER agrees to use commercially reasonable efforts, without taking any legal actions, to enforce each License Agreement under applicable law and to safeguard all material rights (proprietary or otherwise) of CASI in the Products. RESELLER agrees to notify CASI promptly following RESELLER's receipt of any material legal notice or service of process relating to any legal action relating to the Products or to this Agreement. RESELLER agrees to institute any legal action or other proceedings or to enter into any compromise without the prior written consent of CASI.
