Common use of Enforcement of Third Party Provisions Clause in Contracts

Enforcement of Third Party Provisions. To the extent pertaining to the Assets, and from and after the Effective Time until the first anniversary of the Closing, the Seller Parties shall, at Buyer’s request, use reasonable efforts to enforce, for the benefit of Buyer, at Buyer’s cost and expense, all of the Seller Parties’ rights against third Persons under any warranties, guarantees or indemnities given by such third Persons.
