Common use of Enforcement of TKT Patent Rights and TKT Technology; Defense of Infringement Actions Clause in Contracts

Enforcement of TKT Patent Rights and TKT Technology; Defense of Infringement Actions. TKT and MMD shall each promptly, but in any event no later than ten (10) business days after receipt of notice of such action, notify the other in writing of any patent nullity actions, any declaratory judgment actions or any alleged or threatened infringement of patents or patent applications or misappropriation of intellectual property comprising the TKT Patent Rights or the TKT Technology or if either party, or any of their respective Affiliates, shall be individually named as a defendant in a legal proceeding by a Third Party alleging infringement of a patent or other intellectual property right as a result of the manufacture, production, use, distribution for sale or sale of * , or of any other information or notification regarding the TKT Patent Rights or TKT Technology.
