Engineer Comfort Letter. On or prior to the date the first Placement Notice is given hereunder and on each Representation Date thereafter, the Company shall cause each of Lonquist & Co., LLC and R▇▇▇▇▇▇ ▇. ▇▇▇▇ & Associates, Inc., the Company’s independent professional engineering firms, to furnish Univest letters (the “Engineer Comfort Letters”), dated the date each such Engineer Comfort Letter is delivered, which shall meet the requirements set forth in this Section 7(o). The Engineer Comfort Letters shall be in a form and substance reasonably satisfactory to Univest (i) stating, as of such date, the conclusions and findings of such firm with respect to the Company’s oil and gas reserves and covering other customary matters included in such letters (the first such letter, the “Initial Engineer Comfort Letter”) and (ii) updating the Initial Engineer Comfort Letter with any information that would have been included in the Initial Engineer Comfort Letter had it been given on such date and modified as necessary to relate to the Registration Statement and the Prospectus, as amended and supplemented to the date of such letter.

Engineer Comfort Letter. On each of the First Closing Date and each Option Closing Date, the Underwriter shall have received from ▇▇▇▇▇▇▇ Associates, Inc., a letter dated such date, in form and substance satisfactory to the Underwriter, containing statements and information ordinarily included in reserve engineers’ “comfort letters” to underwriters with respect to the reserve reports and related information contained in the Registration Statement, the Time of Sale Prospectus and the Prospectus.

Engineer Comfort Letter. On the date hereof and on each Closing Date you, as Representative of the several Underwriters, shall have received an engineer comfort letter from NSAI, dated such date and addressed to you, in form and substance satisfactory to you.

Engineer Comfort Letter. (1) Prior to the date of the first Placement Notice and (2) within five (5) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate pursuant to Section 7(l) for which no waiver is applicable and excluding the date of this Agreement, the Company shall cause its reserve engineer, currently ▇▇▇▇▇▇▇ Associates, Inc., to furnish the Agent letters (the “Engineer Comfort Letters”), dated the date the Engineer Comfort Letter is delivered, which shall meet the requirements set forth in this Section 7(o). The Engineer Comfort Letter from the Company’s independent reserve engineer shall be in form and substance satisfactory to the Agent, containing statements and information ordinarily included in reserve engineers’ “comfort letters” to underwriters with respect to the reserve reports and related information contained in the Registration Statement and the Prospectus.

The Engineer Comfort Letter shall be in a form and substance reasonably satisfactory to Westpark (i) stating, as of such date, the conclusions and findings of such firm with respect to the Company’s oil and gas reserves and covering other customary matters included in such letters (the first such letter, the “Initial Engineer Comfort Letter”) and (iii) updating the Initial Engineer Comfort Letter with any information that would have been included in the Initial Engineer Comfort Letter had it been given on such date and modified as necessary to relate to the Registration Statement and the Prospectus, as amended and supplemented to the date of such letter.

Engineer Comfort Letter. (1) Prior to the date of the first Placement Notice and (2) within five (5) Trading Days of the filing of the Form 20-F, the Company shall cause its independent mining engineer to furnish the Agent letters (the “Engineer Comfort Letter”), dated the date the Comfort Letter is delivered, which shall meet the requirements set forth in this Section 7(p); provided, that if requested by the Agent, the Company shall cause a Comfort Letter to be furnished to the Agent within ten (10) Trading Days of the date of occurrence of any material transaction or event. The Comfort Letter from the Company’s independent registered public accounting firm shall be in a form reasonably acceptable to the Agent.

Engineer Comfort Letter. ▇▇▇▇▇▇ & Company, Inc. shall have furnished to the Representatives, on behalf of the several Underwriters, a letter or letters, dated as of each Closing Date, in form and substance reasonably satisfactory to the Representatives.

Engineer Comfort Letter. The Reserve Engineer shall have furnished to the Underwriter a letter or letters, dated as of the Closing, in form and substance reasonably satisfactory to the Underwriter.
