Engineering Assistance. 2.2.1 Process and Equipment Operation Problems PEM will provide the following services relating to process and equipment operation problems:
(a) Provide technical evaluation of problems, including onsite measurements and testing as required; and
(b) Prepare report on problems with recommendations for correction.
Engineering Assistance. (a) Supplier shall provide Supplier Personnel required to assist Gap engineering in designing the Gap Server Environment, including:
(1) Collaborating with Gap retained engineering and architecture teams on:
(A) Architectural standards and product standards; and
(B) Project architecture for Gap initiatives.
(2) Performing implementation, support, and management of the Support for Gap’s Server Environment.
(3) Supporting Gap engineering with requirements gathering by providing any requested data pertaining to Gap’s Server Environment.
(4) Providing Gap engineering with * access to the production LPARs and visibility into any aspect of Gap’s Server Environment.
(5) Consulting with Gap engineering and directly with product vendors in troubleshooting and supporting Gap’s Server Environment.
(6) Providing comments and suggestions pertaining to any new and modified Server Environment designs and changes, including: Equipment, Software, firmware, middleware, operating systems, Network components, and Servers not located on Gap’s premises.
(7) Performing proactive Management of Gap’s Server Environment, including identifying areas in which Gap’s Server Environment would be improved or need to be addressed in order to prevent future issues from arising.
(8) Providing all requested services for Servers residing at a Supplier Site, including: *.
(9) All Supplier engineering activities shall be subject to Section 10 (Change Management) of this SOW.
Engineering Assistance. The SUBCONSULTANT shall provide to the COUNTY representation during the construction phase to focus on issues concerning the intent and interpretation of the construction contract plans and documents prepared for the project. Should changed conditions be encountered during construction and when requested by the COUNTY, the SUBCONSULTANT shall respond in a timely manner with suitable engineering solutions that take into account the changed conditions. On-site appearance of the SUBCONSULTANT shall be made during construction at the request of the COUNTY or its designated representative. From time-to-time during construction, the SUBCONSULTANT may be requested by the COUNTY or its designated representative to review contractor proposed field changes or to respond with a recommended solution to remedy particular field situations not covered by the plans and specifications.
Engineering Assistance. So long as the Company is not in material breach of its obligations hereunder, including compliance with the Operating Plan, from the date hereof to the Effective Time or, if earlier, the termination of this Agreement in accordance with Article 8, upon request of the Company, Parent will use commercially reasonable efforts to make its existing engineers available (subject to the demands of Parent's development and other engineering projects as they may exist from time to time) to assist and supplement the Company's engineering resources in order to facilitate the completion of the Company's Orion SA Product technical and schedule milestones as set forth in the Operating Plan. The Company and Parent shall agree in writing, in advance of Parent providing such services to the Company, on the charges and reimbursable expenses to be paid by the Company to Parent in respect of such engineering services.
Engineering Assistance. Any engineering or technical assistance provided by Tele Radio, will be charged at Tele Radio’s labour rate applying at the time assistance is provided, (including travel and stand-by/waiting time), plus expenses at the cost to Tele Radio plus fifteen percent. Applicable expenses include, but are not limited to, those described under clause 13 for external training. Any required miscellaneous materials purchased by Tele Radio will be charged at cost to Tele Radio, plus 25 per cent.
Engineering Assistance. Delete Section 9.10 and substitute the following in lieu thereof:
Engineering Assistance. The City agrees to provide an electronic version of the layout shown in Exhibit B to the Developer for purposes of assisting the Developer’s Engineer in preparing subdivision plats for the Development.
Engineering Assistance. Following the Option Exercise Date, ASG shall have the right to send, at ASG's sole expense, up to two (2) ASG engineers to RadView's Research and Development site in Tel Aviv, Israel, for a period not to exceed two (2) consecutive weeks, for the purpose of receiving training on, and a knowledge transfer with respect to, the Source Materials. Such engineering assistance shall be provided by a qualified RadView engineer whose support to the ASG engineers shall be invoiced to ASG on a time and materials basis. The two (2) week period of training referenced above must commence within thirty (30) days following the Option Exercise Date. The applicable rate for the RadView engineer(s) shall be US$150/hour. Except as provided herein, each party shall otherwise bear its own costs and expenses with respect to the engineering assistance which may be provided hereunder.
Engineering Assistance. If during the period from the date of this Agreement until 12 months following the date on which the production prototype machine identified in Paragraph 5.01 is placed in normal production operation, any material design problems, errors or omissions become evident which cannot reasonably be resolved by Buyer despite its efforts to do so, Seller agrees upon written request from Buyer, to use its best efforts to provide the services of a qualified engineer familiar with the Air Motor and machine design as may be reasonably necessary under the circumstances, the costs be met by the Buyer.
Engineering Assistance. Supplier shall provide the personnel required to design the Gap Network environment.
