Engineering Expenses. A123Systems will provide Xxxxx with technical details and guidance to support the integration of A123Systems modules into Xxxxx’x pack and systems. At Smiths sole discretion, A123 would provide Xxxxx with dedicated A123 engineering support to assist with Xxxxx’x technical integration with the objective of providing proactive rather than reactive resolution to technical issues. The price for the equivalent of one (1) full time engineer to support the program is [***] per quarter, plus expenses, with a minimum engagement time of [***]. Xxxxx must provide A123 with at least [***] days prior written notice of Xxxxx’x intent to cancel any engineer. A123 agrees to discuss with Xxxxx and Smith’s targeted customers the possibility of battery [***] option. ***Confidential treatment requested pursuant to a request for confidential treatment filed with the Securities and Exchange Commission. Omitted portions have been filed separately with the Commission.
Engineering Expenses. Pay all engineering expenses incurred by Bank (a) for a special determination of the Borrowing Base requested by Borrower pursuant to Section 5.3 hereof, and (b) should Bank engage an engineer in connection with Bank's administration of the credit facility evidenced by this Agreement following the occurrence of an Event of Default hereunder.
Engineering Expenses. NetApp shall compensate Dot Hill for work authorized in the SOW or in writing by NetApp performed by or for Dot Hill based on the total amount of hours spent by Dot Hill’s employees and/or subcontractors in connection with the performance of NRE-related matters, together with any travel, lodging and other incidental travel expenses incurred to perform such work. NetApp shall pay Dot Hill for the performance of such authorized work [...***...] that is spent. Such rate shall be subject to change by Dot Hill on and after [...***...], upon written financial justification, and explanation by Dot Hill, and subject to NetApp approval, which approval will not be unreasonably withheld, delayed or conditioned. NetApp shall also reimburse Dot Hill for all reasonable travel, lodging and incidental expenses, pre-approved by NetApp in writing, incurred to perform such work. After the end of each calendar month, Dot Hill will provide to NetApp a brief description of such work performed, the names of individuals who performed such work, the amount of hours spent and a summary of incurred expenses related to such work, together with an invoice(s) therefore. NetApp will pay Dot Hill on such invoice(s) pursuant to the payment terms in base terms and conditions of the Agreement.
Engineering ExpensesFor the purpose of this Lease Agreement , "Engineering Expenses" shall inc l ud e, without li m itation, the cost of daily maintenance of the boilers that serve the Leased Prem ises , inc lud ing, without li m itatio n, the daily "flush" and "blowdown" of the boilers ("Boiler Mainte xxxxx") , and the cost of daily inspection of the boilers within the Leased Prem ises, inc l ud ing, without li m itat ion, daily inspection of the boiler pressure gauges , water levels in the boile rs, low-water cutoff switch, and heat clock ("Boiler Inspection"). The Landlord shall cause its building and grounds staff for the Property to perform the Boiler Maintenance and Boiler Inspection as necessary during the calendar year and during the hours of operation that Tenant will be providing educational services at the Leased Premises. Tenant shall provide to Landlord such calendar year and such hours of operation and shall update same as necessary . Tenant shall reimburse Landlord for the Engineering Expenses , which shall be the value , calculated by a method mutually acceptable to Landlord and Te nant, of the time spent by Xxxxxxxx's building and grounds staff on the completion of the performance of the Boiler Maintenance and Boiler I ns pectio n. Landlord shall invoice Tenant for the Engineering Expenses on a monthly bas is, and in a form acceptable to Tenant , and Tenant shall pay Landlord properly invoiced amounts not more than IO days after receipt of each inv oice . Notwithstanding any provision of Section 12 of this Lease Agreement regarding Landlord's right of entry, Landlord's building and grounds staff shall have the right to enter the Leased Premises for the purpose of performing the Boiler Maintenance and the Boiler Inspect ion; prov ided , howeve r, that Xxxxxxxx's building and grounds staff shall not have the right to enter the Leased Premises for any purpose prior to obtaining any approvals required by Chicago Public Schoo ls .
Engineering Expenses. Pay all engineering expenses incurred by Lender in connection with the administration of the credit facility evidenced by this Agreement.

  • Offering Expenses You authorize the Manager to charge your account with your Underwriting Percentage of all expenses agreed to be paid by the Underwriters in the Underwriting Agreement and all expenses of a general nature incurred by the Manager and Co-Managers under the applicable AAU in connection with the Offering, including the negotiation and preparation thereof, or in connection with the purchase, carrying, marketing, sale and distribution of any securities under the applicable AAU and any Intersyndicate Agreement, including, without limitation, legal fees and expenses, transfer taxes, costs associated with approval of the Offering by FINRA, and the costs of currency transactions (including forward and hedging currency transactions) or, if permitted pursuant to Section 3.1 hereof, any other forward or hedging transactions (including interest rate swaps) entered into to facilitate settlement of the purchase of Securities permitted hereunder.

  • Operating Costs Tenant shall pay to Landlord the Tenant’s Percentage of Operating Costs (as hereinafter defined) incurred by Landlord in any calendar year. Tenant shall remit to Landlord, on the first day of each calendar month, estimated payments on account of Operating Costs, such monthly amounts to be sufficient to provide Landlord, by the end of the calendar year, a sum equal to the Operating Costs, as reasonably estimated by Landlord from time to time. The initial monthly estimated payments shall be in an amount equal to 1/12th of the Initial Estimate of Tenant’s Percentage of Operating Costs for the Calendar Year. If, at the expiration of the year in respect of which monthly installments of Operating Costs shall have been made as aforesaid, the total of such monthly remittances is greater than the actual Operating Costs for such year, Landlord shall promptly pay to Tenant, or credit against the next accruing payments to be made by Tenant pursuant to this subsection 4.2.3, the difference; if the total of such remittances is less than the Operating Costs for such year, Tenant shall pay the difference to Landlord within twenty (20) days from the date Landlord shall furnish to Tenant an itemized statement of the Operating Costs, prepared, allocated and computed in accordance with generally accepted accounting principles. Any reimbursement for Operating Costs due and payable by Tenant with respect to periods of less than twelve (12) months shall be equitably prorated.
