Engineering Support Services. During the Transitional Phase, if any, and Initial Manufacturing Phase (but only if at such time the Exclusive License remains exclusive), E-C will provide up to 4000 man-hours of engineering support services in scope mutually agreed by the Parties (“Engineering Support Services”), of which a minimum of 2000 man-hours will be applied to an IMP project. During the Initial Manufacturing Phase, as part of the Engineering Support Services, E-C will provide D-R (i) with all trade secrets, designs, drawings, graphs, reports, analyses, specifications, processes, techniques, formulae, systems, methods, technical data, information, tools, inventions (whether or not patentable or reduced to practice), works of authorship and other similar materials, and other writings embodying the Licensed IP (the foregoing in a documented or electronic form, “Know-How”), and (ii) all other non-documented Know-How, in each case, as is necessary for D-R to exercise the rights granted with respect to the Licensed IP. After the conclusion of the Initial Manufacturing Phase, E-C will, for so long as the Exclusive License remains exclusive, continue providing up to five hundred (500 man-hours of Engineering Support Services in scope mutually agreed by the Parties on an annual basis at no additional cost to D-R, with such obligations pro-rated in the event that the Exclusive License becomes non-exclusive mid-year. Regardless of whether the Exclusive License is in effect, additional Engineering Support Services may be mutually agreed by the Parties at a rate of $150 per man-hour, which will be upwardly adjusted on an annual basis beginning on the first anniversary of the Execution Date at a rate of two percent (2%) per calendar year. Such Engineering Support Services may include engineering and field warranty support for the E-C Products included in each Combined System on the terms stipulated in D-R’s contract with the Customer purchasing the Combined System and in D-R’s corresponding purchase contract with E-C.

Throughout the contract term, TKE will provide the following services in support of MSWD’s Engineering Department: • Prepare and maintain a project schedule identifying the critical path for expeditious project completion. • Conduct and attend design kick-off meeting with all stakeholders. • Schedule and conduct Project Development Team (PDT) meetings and other necessary meetings; prepare agendas and minutes; and distribute to all applicable entities (not just attendees) within three (3) working days. • Schedule, facilitate, and attend public meetings, as necessary. • Provide progress reports monthly or as deemed required. • Compose all correspondences to keep the project on schedule. • Check all contracts documents to ensure compliance with the MSWD standards and and funding requirements, as required. • Prepare all submittals in accordance agency requirements, as required. • Prepare reimbursement requests and invoices to funding agencies, as required. • Prepare agreements and Purchase Orders. • Coordinate with and prepare inter-agency agreements. • Coordinate with funding agencies and prepare reports, update funding reports, and grant applications as necessary for project funding. • Prepare project update write-ups. • Prepare project estimates and budgets. • Issue all necessary Notices to Proceed (NTP). • Review and process all invoices (MSWD staff will approve). • Compose Requests for Proposal (RFP), Notices Inviting Proposals (NIP), and Scopes of Services to retain other related design services, construction, such as Design Review, Surveying, Inspection, Geotechnical, Material Testing, etc.; coordinate and schedule these services; and review proposals as necessary. • Maintain all project files in accordance with MSWD format. • Facilitate, coordinate, and oversee the ongoing daily actions required to completely provide the full level of intended service and ensure that the project meets all applicable Federal, State, and local requirements. • Oversee and ensure that all measures of the specific project’s scope of services are completed in a timely and professional manner with an emphasis on providing MSWD with a high- quality project. • Act as a liaison between MSWD and all project stakeholders on order to accomplish the full project services intended by MSWD. • Ensure that all appropriate communication, correspondence, and reports are completed on an ongoing basis in a timely manner to the satisfaction of the MSWD. • Prepare MSWD Broad of Directors staf...
Engineering Support Services. Under an HSA or Statement of Work (SOW), and available only for PremiumPlus Programs as described in Sections 2.1.3 and 2.2.3 herein, NI can provide one or more of the following engineering consulting services.
Engineering Support Services. 1.01 During the initial one (1)-year term of this ESP Agreement, XIONICS will provide up to one hundred twenty (120) hours of engineering support services for the porting of the Programs licensed under the License Agreement to LICENSEE's devices. Under this ESP Agreement XIONICS will provide system-level architectural and/or programming assistance and quality assurance activities designed to accelerate time-to-market by providing hands-on engineering assistance for LICENSEE's porting project(s). LICENSEE will be able to determine exactly how the available XIONICS engineering resources are deployed to support its porting project. As part of the ESP, Xionics project managers are available to assist the porting engineer where necessary, without charge to the hours of engineering support purchased under the ESP. Engineering and quality assurance time will be charged to the hours purchased.

Engineering Support Services. InfoBeat will provide to Sony, and, at Sony's request, to any other Sony Parties, the Engineering Support Services described more fully in EXHIBIT A in connection with the Publishing Support Services. Service upgrades and support of new Products will be provided as part of the Engineering Support Services in accordance with the procedures described in Section 2.5(b) below. InfoBeat shall provide up to two thousand (2000) hours of Engineering Support Services at no charge to Sony which Sony may apply to its outstanding payment obligations for Engineering Support Services in any manner. Thereafter, for any additional hours of Engineering Support Services, InfoBeat will invoice Sony for such services at a rate no higher than the lowest then-current hourly rate for engineering support services charged to any InfoBeat customer (which, for purposes of comparison only, is $150 per hour as of the Effective Date), such fee and the terms under which such additional support services will be provided being subject to the prior good faith negotiation between InfoBeat and Sony. Sony agrees to provide a rolling monthly forecast containing Sony's good-faith estimate of its expected utilization of Engineering Support Staff resources. InfoBeat shall dedicate the equivalent of three (3) full-time personnel (who have the skill sets reasonably necessary to perform the assigned tasks) assigned to perform the Engineering Support Services as necessary to satisfy Sony's forecasted usage. Sony shall provide InfoBeat with sufficient advanced notice of any significant changes in Engineering Support Service levels so that InfoBeat may allocate and reallocate resources between Sony and InfoBeat's other customers in an efficient and timely manner.
