English Limitation. This Guaranty shall not apply to the extent that it would result in any obligation or liability constituting unlawful financial assistance within the meaning of Section 677 of the English Companies Act or any equivalent provision of any applicable law or otherwise being unlawful or in breach of the fiduciary or statutory duties of any director or officer of any Loan Party.
