Entire Agreement; Amendment; Waivers. This Agreement and any exhibits delivered by the parties hereto contemporaneously herewith constitute the entire agreement between the parties pertaining to the subject matter contained herein and supersede all prior agreement, representations and understandings of the parties hereto. No supplement, modification or amendment of this Agreement shall be binding unless executed in writing by all of the parties hereto.
