Common use of Entire Agreement; Amendment; Waivers Clause in Contracts

Entire Agreement; Amendment; Waivers. This Agreement and the documents referred to herein and to be delivered pursuant hereto constitute the entire agreement of the parties pertaining to the subject matter hereof, and supersede all prior and contemporaneous agreements understandings, negotiations, and discussions of the parties, whether oral or written, and there are no warranties, representations, or other agreements between the parties in connection with the subject matter hereof, except as specifically set forth herein. No amendment, supplement, modification, waiver, or termination of this Agreement shall be binding unless executed in writing by the party to be bound thereby. No waiver of any of the provisions of this Agreement shall be deemed or shall constitute a waiver of any other provision or breach of this Agreement, whether or not similar, unless otherwise expressly provided.

This Agreement constitutes the final, complete, and the documents referred to herein and to be delivered pursuant hereto constitute the entire agreement exclusive statement of the terms of the agreement between the parties pertaining as to the subject matter hereof, and supersede supersedes all prior and contemporaneous agreements understandingsagreements, negotiations, representations and discussions understandings of the parties. No course of prior dealing among the parties, whether oral or writtenno usage of trade, and there are no warrantiesparole or extrinsic evidence of any nature shall be used to supplement, representationsmodify or vary any of the terms hereof. This Agreement may be altered, amended or other agreements between modified in whole or in part at any time only by a writing signed by all the parties in connection with the subject matter hereof, except as specifically set forth herein. No amendment, supplement, modification, waiver, or termination of this Agreement shall be binding unless executed in writing by the party to be bound therebyhereto.
