Entire Agreement; Amendments in Writing. This Agreement and the Stock Purchase Agreement described in Section 7.1 together comprise the entire understanding between the Parties with respect to their subject matter and supersede any previous communications, representations, or agreements (including the HR-1 Agreement, whether oral or written. All information heretofore exchanged between the Parties pursuant to the Confidentiality Agreement heretofore entered into between the Parties will henceforth be subject to the applicable provisions of this Agreement. For purposes of construction, this Agreement will be deemed to have been drafted by both Parties. No modification of this Agreement will be binding on either Party unless in writing and signed by an authorized representative of each Party.
