Common use of Entire Agreement and Amendment Clause in Contracts

Entire Agreement and Amendment. This Agreement constitutes the entire agreement among the Parties hereto with respect to the transactions contemplated herein, and it supersedes all prior discussions, understandings or agreements among the Parties. All exhibits and schedules attached hereto are a part of this Agreement and are incorporated herein by reference. This Agreement may not be amended or modified by any act or conduct of the Parties or orally in any respect unless the amendment or modification is reduced to writing and executed by the Parties.
