Common use of Entire Agreement and Governing Law Clause in Contracts

Entire Agreement and Governing Law. This Agreement comprises the entire Agreement between the parties. This Agreement can be executed in counterparts delivered by email, electronic means, or fax and all such email, electronic, and faxed counterparts, collectively, shall be deemed, for all purposes, to constitute one original executed Agreement. This Agreement shall be governed by, interpreted under, construed and enforced in accordance with the laws of New Jersey, excluding conflict of laws principles that might cause application of laws of any other jurisdiction.
