Common use of Entire Agreement, Assignability, etc Clause in Contracts

Entire Agreement, Assignability, etc. This Agreement and the Merger Agreement and the documents and other agreements among the parties hereto and thereto as contemplated by or referred to herein or therein constitute the entire agreement among the parties with respect to the subject matter hereof and supersede all other prior agreements and understandings, both written and oral, between the parties with respect to the subject matter hereof. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns. This Agreement is not intended to confer upon any person other than the parties hereto and the Shareholders any rights or remedies hereunder, except as otherwise expressly provided herein and shall not be assignable by operation of law or otherwise, except as provided in Section 8 hereof.

This Agreement is not intended to confer upon any person other than the parties hereto and the Shareholders Stockholders any rights or remedies hereunder, except as otherwise expressly provided herein and shall not be assignable by operation of law or otherwise, except as provided in Section 8 hereof.

This Agreement is not intended to confer upon any person other than the parties hereto and the Shareholders any rights or remedies hereunder, except as otherwise expressly provided herein and shall not be assignable by operation of law or otherwise, except as provided in Section 8 hereofthat Purchaser and the Company may assign their rights hereunder to any Affiliate of Purchaser or the Company.
