Entire Agreement, Assignability, etc. This Agreement (including the SCHEDULES and EXHIBITS attached hereto) (i) constitutes the entire agreement, and supersedes all other prior agreements and understandings, both written and oral, between the parties with respect to the transactions and matters contemplated hereby and (ii) is not intended to confer upon any Person other than the parties hereto any rights or remedies hereunder. Neither party may assign its rights under this Agreement prior to Closing without the consent of the other party.
