ENTIRE AGREEMENT; COUNTERPARTS; SECTION HEADINGS. This Agreement, the Related Agreements and the other writings referred to herein or delivered pursuant hereto which form a part hereof contain the entire understanding of the parties hereto with respect to its subject matter. This Agreement supersedes and renders null and void all prior agreements and understandings between the parties with respect to the subject matter hereof. This Agreement or any amendment hereto may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. The descriptive headings of sections and paragraphs of this Agreement are inserted for convenience only, and do not constitute a part of this Agreement and shall not affect in any way the meaning or interpretation of this Agreement.

For the avoidance of doubt, except as specifically provided in Article XXII hereof, this Agreement does not supersede, amend or otherwise alter any of the provisions of the Prior Purchase Agreements. This Agreement supersedes and renders null and void all prior agreements and understandings between the parties with respect to the subject matter hereof. This Agreement or any amendment hereto may be executed simultaneously in any number of counterpartsone or more counterparts thereof, each of which shall be deemed an original, as original but all of which together shall constitute one and the same instrument. The descriptive headings of sections and paragraphs of in this Agreement are inserted for convenience only, and do not constitute a part of this Agreement reference only and shall not alter or otherwise affect in any way the meaning or interpretation of this Agreementhereof.
