Entire Agreement; Effectiveness of Agreement. This Agreement constitutes the entire agreement between the parties as of the Effective Date and supersedes all previous agreements and understandings between the parties with respect to the subject matter hereof.

Entire Agreement; Effectiveness of Agreement. This Agreement constitutes sets forth the entire agreement between the parties as of the Effective Date Parties in respect of the subject matter contained herein and supersedes all previous agreements and understandings between the parties with prior agreements, promises, covenants, arrangements, communications, representations or warranties, whether oral or written in respect to of the subject matter hereofcontained herein. Notwithstanding anything to the contrary herein, this Agreement shall not become effective until the Effective Date.
