Common use of Entire Agreement; Termination of Prior Agreement Clause in Contracts

Entire Agreement; Termination of Prior Agreement. This Agreement (including the Schedules and Exhibits hereto) constitutes the entire agreement of the Members with respect to the subject matter hereof and supersede all prior written or oral and all contemporaneous oral agreements, understandings and negotiations between the Members with respect to the subject matter hereof.

Entire Agreement; Termination of Prior Agreement. This Agreement (including the any Schedules and Exhibits hereto) constitutes the full and entire understanding and agreement of the Members with respect to the subject matter hereof and supersede all prior written or oral and all contemporaneous oral agreements, understandings and negotiations between the Members parties with respect to the subject matter hereof, and any other written or oral agreement relating to the subject matter hereof existing between the parties is expressly canceled. Upon the effectiveness of this Agreement, the Prior Agreement shall terminate and be of no further force and effect, and shall be superseded and replaced in its entirety by this Agreement.

Without limiting the foregoing, the Prior Agreement shall be terminated as of the Members with respect to the subject matter date hereof and supersede all prior written or oral shall be superseded and all contemporaneous oral agreements, understandings and negotiations between the Members with respect to the subject matter hereofreplaced in its entirety by this Agreement.

This Agreement (including the Schedules and Exhibits hereto) constitutes the entire agreement of between the Members with respect to the subject matter hereof parties hereto, and supersede supersedes all prior written or oral and all contemporaneous oral agreements, if any, understandings and negotiations arrangements, oral or written, between the Members parties hereto, with respect to the subject matter hereof. Without limiting the generality of the foregoing, the parties agree that the Amended and Restated Severance Agreement by and between Executive and the Company, dated December 27, 2007, is hereby terminated, effective as of the date set forth above, and replaced in its entirety by this Agreement.
