Common use of Entire Agreement; Termination of Prior Agreement Clause in Contracts

Entire Agreement; Termination of Prior Agreement. This Agreement constitutes the entire agreement among the parties hereto with respect to the subject matter hereof. All prior correspondence and proposals (including but not limited to summaries of proposed terms) and all prior promises, representations, understandings, arrangements and agreements relating to such subject matter (including but not limited to those made to or with the Executive by any other Person and those contained in the Prior Agreement or any other prior employment, consulting or similar agreement entered into by Executive and the Company or any predecessor thereto or Affiliate thereof) are merged herein and superseded hereby.

All prior correspondence , and proposals (including but not limited to summaries of proposed terms) and supersedes all prior promisesor contemporaneous negotiation, representationsunderstanding or agreement of the parties, understandingswhether written or oral, arrangements and agreements relating with respect to such subject matter (including but not limited to those made to or with the Executive by any other Person matter. This Agreement replaces and those contained in supersedes the Prior Agreement or any other prior employment, consulting or similar agreement entered into by Executive and the Prior Agreement is hereby terminated and neither Executive nor any of the corporations party thereto which were acquired directly or indirectly by Company in connection with the Merger shall have any rights or any predecessor thereto or Affiliate thereof) are merged herein obligations thereunder from and superseded herebyafter the date of this Agreement.
