Common use of Entire Agreement; Termination Clause in Contracts

Entire Agreement; Termination. This Agreement contains the entire understanding of the parties hereto respecting the subject matter hereof and supersedes all prior agreements, discussions and understandings with respect thereto, including the Existing Stockholders Agreement. The Existing Stockholders Agreement is hereby terminated effective as of the date hereof and is of no further force or effect.

Entire Agreement; Termination. This Agreement contains is intended by the entire parties as a final expression of their agreement and intended to be a complete and exclusive statement of the agreement and understanding of the parties hereto respecting in respect of the subject matter hereof and contained herein. This Agreement supersedes all prior agreements, discussions agreements and understandings between the parties with respect theretoto such subject matter. This Agreement, including except the Existing Stockholders Agreement. The Existing Stockholders Agreement is hereby terminated effective as provisions of Section 11 (which shall survive until the expiration of the date hereof applicable statutes of limitations) and is this Section 12, shall terminate and be of no further force or effecteffect when all of the Common Stock delivered to the Stockholder ceases to be Registrable Common.
