This Agreement constitutes the entire agreement and understanding between the parties hereto and supersedes all prior agreementsagreements between the parties, if any, understandings and arrangements, whether oral or written, between the parties hereto with respect relating to the sale of Interests or any other subject matter hereofcovered by this Agreement.

Entire Agreement. This Agreement constitutes sets forth the entire agreement between and ---------------- understanding of the parties hereto and supersedes all prior agreementsunderstandings, if any, understandings and arrangements, oral agreements or written, representations by or between the parties hereto with respect parties, whether written or oral, which relate in any way to the subject matter hereof, including, without limitation, any previously executed employment agreements or amendments thereto.

Entire Agreement. Any subsequent agreement that includes any term that conflicts in any way with any term of this Agreement must be in writing, specifically identify the subject matter hereofterm in this Agreement that is being superceded and be signed by both Parties.

Entire Agreement. This Agreement constitutes the entire agreement Agreement between the parties hereto and supersedes any and all prior agreementsagreements and representations, if any, understandings and arrangements, either oral or writtenin writing, between the parties hereto with respect to regarding the subject matter hereofcontained herein.

Entire Agreement. All preceding agreements relating to the subject matter hereof, whether written or oral is hereby merged into this Agreement.

This Agreement constitutes Arrangement Agreement, together with the agreements and documents herein and therein referred to, constitute the entire agreement between among the parties hereto Parties pertaining to the subject matter hereof and supersedes supersede all prior agreements, if anyunderstandings, understandings negotiations and arrangementsdiscussions, whether oral or written, between among the parties hereto Parties with respect to the subject matter hereof.
