Common use of Entire Amendment Clause in Contracts

Entire Amendment. This Amendment constitutes the entire agreement and understanding among the parties hereto with respect to the subject matter hereof, and supersedes all prior agreements and understandings written and oral, among the parties with respect to such subject matter; provided, however, that nothing herein shall be construed to alter the obligations of Seller or Buyer under the Purchase Agreement.

Entire Amendment. This Amendment constitutes the entire agreement and understanding among of the parties hereto with respect to the subject matter hereof, amendments to the Stock Purchase Agreement contemplated hereby and supersedes supersede all prior agreements and understandings undertakings, both written and oral, among between or on behalf of the parties Sellers and/or their respective Affiliates, on the one hand, and the Acquiror and/or its Affiliates, on the other hand, with respect to such subject matter; provided, however, that nothing herein shall be construed to alter the obligations of Seller or Buyer under the Purchase Agreementamendments.
