Common use of Entire and Sole Agreement Clause in Contracts

Entire and Sole Agreement. This Agreement, including all Schedules and Exhibits hereto, and all documents and instruments to be delivered on or before the Closing Date pursuant to its terms, constitutes the entire agreement between the parties hereto and supersedes all agreements, representations, warranties, statements, promises and understandings, whether oral or written, with respect to the subject matter hereof. The parties hereto further acknowledge and agree that, in entering into this Agreement and in delivering the documents and instruments to be delivered on or before the Closing Date, the parties hereto have not in any way relied, and shall not in any way rely, on any oral agreement, representation, warranty, statement, agreement in principle, promise or understanding not specifically set forth in this Agreement, in the Schedules or Exhibits hereto or in such documents or instruments.
