Common use of Entire and Sole Agreement Clause in Contracts

Entire and Sole Agreement. This document, together with the attached exhibits specifically referenced in this document, constitutes the complete and exclusive statement of the mutual understanding of the parties with respect to its subject matter. This Agreement supersedes any and all prior or contemporaneous understandings, representations, or other communication between the parties of any sort, whether written or oral, with respect to its subject matter. The terms of this Agreement shall supersede any inconsistent terms and conditions of any Purchase Order, regardless of form, issued by Purchaser to Enova. In any proceeding brought to enforce or interpret the terms of this Agreement, the nonprevailing party shall pay to the prevailing party the prevailing party's attorneys' fees and costs incurred.
