Entire Understanding; Conflicts. This Agreement and the Related Agreements set forth the entire agreement and understanding of the parties hereto with respect to the transactions contemplated hereby and thereby and supersede any and all prior agreements, arrangements and understandings, both written and oral, among the parties relating to the subject matter hereof. In the event of a conflict between the terms and provisions of this Agreement and one or more of the Related Agreements, the terms and provisions of this Agreement shall control; provided, however, that nothing in this Agreement shall limit any remedy available under a Related Agreement; and provided, further that nothing in any Related Agreement shall alter any remedies set forth in this Agreement.
