Entire Understanding; Etc. This Agreement, together with the Partnership Agreement, constitutes the entire agreement and understanding among the parties hereto with respect to the matters set forth in this Agreement, and supersedes all prior agreements, oral and written, among the parties hereto with respect to the subject matter hereof.

Except as set forth in this Section 13.6, this Agreement constitutes the entire agreement and understanding among the Partners with respect to the matters set forth in this Agreement. Except to the extent otherwise expressly provided herein, including, without limitation, in Section 12.6 with respect to the Partners' consent to the arbitration provisions set forth in the Original Agreement and/or the First Restated Agreement and herein, and in Sections 13.12 and 13.13 with respect to various tax consequence acknowledgements and securities representations made in the Original Agreement and/or the First Restated Agreement, all prior agreements among the Partners, whether written or oral, with respect to the matters set forth in this Agreement, are merged herein and shall be of no force or effect, and this Agreement supersedes in the entirety the Original Agreement and the First Restated Agreement.
