Entire Understanding; No Third Party Beneficiaries. This Agreement (together with the documents, agreements and instruments referred to herein) represents the entire understanding of the parties with respect to the subject matter hereof and supersedes any and all other oral or written agreements heretofore made with respect to the subject matter hereof; provided, however, that the Company, the Purchaser and the Other Purchasers have entered into the following agreements to which the Seller is not a party: (i) Passivity Commitment for CPP Preferred Stock, (ii) Agreement Among Purchasers and (iii) the Escrow Agreement with the Escrow Agent. Nothing in this Agreement, expressed or implied, is intended to confer upon any person, other than the parties hereto, any rights or remedies hereunder.
