Common use of Entire Understanding Clause in Contracts

Entire Understanding. This Agreement contains the entire understanding between the Company and the Executive with respect to the subject matter hereof and supersedes any prior agreement between the Company and the Executive regarding non-compete provisions, except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided and not expressly dealt with in this Agreement.

Entire Understanding. This Agreement contains the entire understanding between the Company and the Executive with respect to the subject matter hereof and supersedes any prior severance, change in control or similar agreement between the Company and the Executive regarding non-compete provisionsExecutive; provided, however, that, except that as otherwise expressly provided in this Section 7 and in Section 3c, this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided and not expressly dealt with in this Agreementprovided, including any obligation of the Company to indemnify or provide liability insurance coverage to Executive.

Entire Understanding. This Agreement contains the entire understanding between the Company and the Executive with respect to the subject matter hereof and supersedes any prior agreement between the Company and the Executive regarding non-compete provisions, except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided and not expressly dealt with in this Agreement. This Agreement supersedes the Prior Agreement.

Entire Understanding. This Agreement contains the entire understanding between the Company and the Executive with respect to the subject matter hereof and supersedes any prior severance or change in control agreement and amendment thereto between the Company and the Executive regarding non-compete provisions, Executive; except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any a kind elsewhere provided and not expressly dealt with provided in this Agreement.

This Agreement contains the entire understanding between the Company and the Executive with respect to the subject matter hereof and supersedes any prior severance or termination agreement between the Company and the Executive regarding non-compete provisionsExecutive, except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided and not expressly dealt with in this Agreement.

This Agreement contains the entire understanding between the Company and the Executive with respect to the subject matter hereof and supersedes any prior severance agreement between the Company and the Executive regarding non-compete provisionsExecutive, except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided and not expressly dealt with provided for in this Agreement, including without limitation, any benefit or compensation provided under an executive incentive compensation program of the Company.

Entire Understanding. This Agreement contains the entire understanding between the Company Corporation and the Executive with respect to the subject matter hereof and supersedes any prior severance, change in control or similar agreement between the Company Corporation and the Executive regarding non-compete provisionsExecutive; provided, however, that, except that as otherwise provided in this Section 7 and in Section 3(c), this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided and not expressly dealt with in this Agreementprovided.

This Agreement contains the entire understanding between the Company and the Executive with respect to the subject matter hereof and supersedes any prior agreement Confidentiality and Severance Agreement between the Company and the Executive regarding non-compete provisionsExecutive, except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided and not expressly dealt with provided for in this Agreement.

Entire Understanding. This Agreement contains the entire understanding between the Company and the Executive with respect to the subject matter hereof and supersedes any prior confidentiality and employment agreement between the Company and the Executive regarding non-compete provisionsExecutive, except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided and not expressly dealt with provided for in this Agreement.

Entire Understanding. This Agreement contains the entire understanding between the Company and the Executive with respect to the subject matter hereof and supersedes any prior severance agreement between the Company and the Executive regarding non-compete provisionsExecutive, except as otherwise contemplated by paragraph 3(c) of this Agreement and except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided (except as otherwise contemplated by paragraph 3(c) of this Agreement) and not expressly dealt with provided for in this Agreement, including without limitation, any benefit or compensation provided under an executive incentive compensation program of the Company.

This Agreement contains the entire understanding between the Company Corporation and the Executive with respect to the subject matter hereof and supersedes any prior severance or termination agreement between the Company Corporation and the Executive regarding non-compete provisionsExecutive, except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided and not expressly dealt with in this Agreement.

This Agreement contains the entire understanding between the Company and the Executive with respect to the subject matter hereof and supersedes any prior agreement between the Company and the Executive regarding non-compete provisions, except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided and not expressly dealt with in this Agreement.. This Agreement contains the entire understanding between the Company and the Executive with respect to the subject matter hereof and supersedes any prior agreement between the Company and the Executive regarding non-compete provisionsExecutive, except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to the Executive of any kind elsewhere provided expressly provided, including, without limitation, that certain letter agreement between Peoples Energy Corporation and Executive, dated ____________, 2002, and not expressly dealt with provided for in this Agreement.
