Entities comprising the Group and their respective Issued Share Capital ----------------------------------------------------------------------- Schedule A of this Agreement lists of all of the subsidiaries of Stel (BVI) Inc. Schedule A also lists the authorized and issued share capital of the Group. Schedule A is complete, true and accurate in all respects. As at the Closing Date, all of the Shares are free of all mortgages, charges, liens and other encumbrances and that no person, firm or corporation has any agreement or option or right capable of becoming an agreement for the purchase from CIC, CICC or Stel (BVI) Inc. of any of the Shares, except as provided herein.
