Common use of Entitlement Orders; Subordination of Lien, Waiver of Set-Off, etc Clause in Contracts

Entitlement Orders; Subordination of Lien, Waiver of Set-Off, etc. (a) The Trustee shall have the sole power to originate “Entitlement Orders” (as defined in UCC § 8-102(a)(8)) with respect to, the Pledged Collateral. The Securities Intermediary shall comply with Entitlement Orders issued by the Trustee with respect to the Pledged Collateral, without further consent of the Pledgor or any other Person.

The Securities Intermediary shall immediately comply with Entitlement Orders issued by the Trustee with respect to the Pledged Collateral, Collateral without further consent of the Pledgor Pledgors or any other Person.
