Entitlement to withhold. The Bank of New York Mellon shall be entitled to deduct FATCA Withholding Tax, and The Bank of New York Mellon as well as FMS-WM shall have no obligation to gross-up any payment hereunder or to pay any additional amount as a result of such FATCA Withholding Tax.
