The minute books and other similar records of the Company and the Company Subsidiaries that are corporations are true and complete in all material respects and accurately reflect in all material respects all meetings and all other actions taken by the stockholders (or equivalent), Boards of Directors (or other governing bodies) and all committees of the Boards of Directors (or other governing bodies) of the Company and the Company Subsidiaries.
