The Entrustment Loan Services clause defines the arrangement whereby a lender provides funds to a borrower through a third-party financial institution, which acts as an intermediary. In practice, the lender entrusts the funds to the intermediary, who then disburses the loan to the borrower and may also handle repayment collection and monitoring. This structure is commonly used in jurisdictions where direct lending is restricted or where additional oversight is desired. The core function of this clause is to facilitate compliant and secure loan transactions by leveraging the expertise and regulatory status of the intermediary institution.
Entrustment Loan Services. COFCO Finance will provide the Entrustment Loan Services to the Group pursuant to the 2022 Financial Services Agreement. COFCO Finance will only act as agent of the Group and charge handling fees and other services fees in connection with the Entrustment Loan Services. The handling fees and other services fees to be charged by COFCO Finance in connection with the Entrustment Loan Services shall not be higher than those offered by the ten major PRC commercial banks to the Group for similar type of services.
Entrustment Loan Services. CTS Finance will provide Entrustment Loan Services to PRC Subsidiaries pursuant to the 2018 Financial Services Framework Agreement. CTS Finance will only act as an agent of PRC Subsidiaries and charge handling fees in connection with the Entrustment Loan Services. The handling fees to be charged by CTS Finance to PRC Subsidiaries in connection with the Entrustment Loan Services shall not be higher than 0.05% of the entrustment loan amount and the fees offered by at least two other PRC financial institutions to PRC Subsidiaries for providing services of similar nature.

COFCO Finance will provide the Entrustment Loan Services to the Group in accordance with the permitted scope prescribed under the PRC financial policies and the Management Methods for Group Finance Companies 《( 企業集團財務公司管理辦 法》) pursuant to the 2021 Financial Services Agreement. COFCO Finance will only act as agent of the capital management entity of the Group (i.e. COFCO Meat Investments Co., Ltd. COFCO Finance will not require the Group to provide any type of guarantees or securities with respect to the Entrustment Loan Services. The handling fees to be charged by COFCO Finance in connection with the Entrustment Loan Services shall not be higher than those offered by other PRC financial institutions to the Group for identical or similar type of services.
