Environmental Audits or Assessments. True, complete and ----------------------------------- correct copies of the written reports, if any, and all parts thereof, including any drafts of such reports if such drafts are in the possession or control of the Company, of all environmental audits or assessments (including tank closure reports) which have been conducted at any Facility within the past five years, either by the Company or any attorney, environmental consultant or engineer engaged by the Company or Seller for such purpose, will be delivered to Buyer and a list of all such reports, audits and assessments and any other similar report, audit or assessment not in the possession or control of the Company and of which the Company or Seller has knowledge is included on Schedule 4.23.
