Common use of Environmental Claims Clause in Contracts

Environmental Claims. Each Obligor shall (through the Company), promptly upon becoming aware of the same, inform the Facility Agent in writing of: (a) any Environmental Claim against any member of the Group which is current, pending or threatened; and (b) any facts or circumstances which are reasonably likely to result in any Environmental Claim being commenced or threatened against any member of the Group, where the claim, if determined against that member of the Group, has or is reasonably likely to have a Material Adverse Effect.

Environmental Claims. Each Obligor shall, and shall procure that each other Transaction Obligor will, (through the CompanyParent Guarantor), promptly upon becoming aware of the same, inform the Facility Agent in writing of: (a) any Environmental Claim against any member of the Group which is current, pending or threatened; and (b) any facts or circumstances which are reasonably likely to result in any Environmental Claim being commenced or threatened against any member of the Group, where the claim, if determined claim against that a member of the GroupGroup not including an Obligor, has had or is could reasonably likely be expected to have a Material Adverse Effect.

Each Obligor shall shall, (through the CompanyPrestige Holdings), promptly upon becoming aware of the same, inform the Facility Agent in writing of: (a) any Environmental Claim which is likely to result in a Material Adverse Effect against any member of the Group which is current, pending or threatened; and (b) any facts or circumstances which are reasonably likely to result in any Environmental Claim being commenced or threatened against any member of the Group, where the claim, if determined against that member of the Group, has or Group which is reasonably likely to have result in a Material Adverse Effect.

Each Obligor of the Obligors shall (through the Company), promptly upon becoming aware of the same, inform the Facility Agent in writing of: (a) any Environmental Claim against any member of the Restricted Group which is current, pending or threatened; and (b) any facts or circumstances which are reasonably likely to result in any Environmental Claim being commenced or threatened against any member of the Restricted Group, where the claim, if determined against that member of the Group, has or is reasonably likely to have a Material Adverse Effect.

Environmental Claims. Each Obligor shall (through and the CompanyCompany shall procure that each Material Subsidiary will), promptly upon becoming aware of the same, inform the Facility Agent in writing of: (a) any Environmental Claim against any member of the Group which is current, pending or threatened; and (b) any facts or circumstances which are reasonably likely to result in any Environmental Claim being commenced or threatened against any member of the Group, where the claim, if determined against that member of the Group, has or is reasonably likely to have a Material Adverse Effect.
