Common use of Environmental Claims Clause in Contracts

Environmental Claims. Each Obligor shall inform the Agent, in writing as soon as reasonably practical upon becoming aware of the same: (a) if any Environmental Claim (not of a frivolous or vexatious nature) has been commenced or (to the best of its knowledge and belief) threatened against any Material Group Company; or (b) of any facts or circumstances which will or are reasonably likely to result in any Environmental Claim (not of a frivolous or vexatious nature) being commenced or threatened against any Material Group Company, where the claim would be reasonably likely, if determined against that Material Group Company, to have a Material Adverse Effect.
