(i) to the best of the knowledge of the Corporation, the Company property, assets and each operations of its Subsidiaries have obtained the Corporation comply in all material approvals, authorization, certificates, consents, licenses, orders and permits or other similar authorizations of all governmental authorities, or from any other person, that are required under any Environmental Laws, except for any approvals, authorization, certificates, consents, licenses, orders and permits or other similar authorizations the failure of which to obtain does not or would not have a Material Adverse Effect. “Environmental Laws” shall mean respects with all applicable laws Environmental Laws (which term means and includes, without limitation, any and all applicable federal, provincial, municipal or local laws, statutes, regulations, treaties, orders, judgments, decrees, ordinances, official directives and all authorizations relating to the protection environment, occupational health and safety, or any Environmental Activity (which term means and includes, without limitation, any past or present activity, event or circumstance in respect of a Contaminant (which term means and includes, without limitation, any pollutants, dangerous substances, liquid wastes, hazardous wastes, hazardous materials, hazardous substances or contaminants or any other matter including any of the environment foregoing, as defined or described as such pursuant to any Environmental Law), including, without limitation, all requirements pertaining to reportingthe storage, licensinguse, permittingholding, controllingcollection, investigating purchase, accumulation, assessment, generation, manufacture, construction, processing, treatment, stabilization, disposition, handling or remediating emissionstransportation thereof, dischargesor the release, releases escape, leaching, dispersal or threatened releases of hazardous substancesmigration thereof into the natural environment, chemical substances, pollutants, contaminants including the movement through or toxic substances, materials or wastes, whether solid, liquid or gaseous in nature, into the air, soil, surface waterwater or groundwater) of the jurisdictions in which the property, groundwater or land, or relating assets and operations of the Corporation is located);
(ii) to the manufacturebest of the knowledge of the Corporation, processingthe Corporation has obtained all material licences, distributionpermits, useapprovals, treatmentconsents, storagecertificates, disposalregistrations and other authorizations under all applicable Environmental Laws (the “Environmental Permits”) necessary as at the date hereof for the operation of the businesses currently carried on by the Corporation, transport or handling of hazardous substancesand each Environmental Permit is valid, chemical substances, pollutants, contaminants or toxic substances, material or wastes, whether solid, liquid or gaseous subsisting and in nature. Except for such instances as would not, individually or in the aggregate, have a Material Adverse Effectgood standing and, to the Company’s Knowledgebest knowledge of the Corporation, the Corporation is not in material default or breach of any Environmental Permit and, to the best of the knowledge of the Corporation, no proceeding is pending or threatened to revoke or limit any Environmental Permit;
(iii) the Corporation does not have any knowledge of, and have not received any notice of, any material claim, judicial or administrative proceeding, pending or threatened against, or which may affect, either the Corporation or any of the property, assets or operations thereof, relating to, or alleging any violation of any Environmental Laws, the Corporation is not aware of any facts which could give rise to any such claim or judicial or administrative proceeding and neither the Corporation nor any of the property, assets or operations thereof is the subject of any investigation, evaluation, audit or review by any Governmental Authority to determine whether any violation of any Environmental Laws has occurred or is occurring or whether any remedial action is needed in connection with a release of any Contaminant into the environment, except for compliance investigations conducted in the normal course by any Governmental Authority;
(iv) the Corporation has not given or filed any notice under any federal, provincial or local law with respect to any Environmental Activity, the Corporation does not have any material liability (whether contingent or otherwise) in connection with any Environmental Activity and, to the knowledge of the Corporation, no notice has been given under any federal, state, provincial or local law or of any material liability (whether contingent or otherwise) with respect to any Environmental Activity relating to or affecting the Corporation or the property, assets, business or operations thereof;
(v) the Corporation does not store any hazardous or toxic waste or substance on the property thereof and have not disposed of any hazardous or toxic waste, in each case in a manner contrary to any Environmental Laws, and to the best of the knowledge of the Corporation, there are no past Contaminants on any of the premises at which the Corporation carries on business, in each case other than in compliance with Environmental Laws; and
(vi) to the best of the knowledge of the Corporation, the Corporation is not subject to any contingent or present events, conditions, circumstances, incidents, actions or omissions other material liability relating to or in any way affecting the Company or its Subsidiaries that violate or could reasonably be expected to violate any Environmental Law after the Closing Date or that could reasonably be expected to give rise to any environmental liability, or otherwise form the basis of any claim, action, demand, suit, proceeding, hearing, study or investigation (i) under any non-compliance with Environmental Law, or (ii) based on or related to the manufacture, processing, distribution, use, treatment, storage (including without limitation underground storage tanks), disposal, transport or handling, or the emission, discharge, release or threatened release of any hazardous substance.

(ii) to the manufacturebest of the knowledge of the Corporation, processingthe Corporation has obtained all material licences, distributionpermits, useapprovals, treatmentconsents, storagecertificates, disposalregistrations and other authorizations under all applicable Environmental Laws (the “Environmental Permits”) necessary as at the date hereof for the operation of the businesses currently carried on by the Corporation, transport or handling of hazardous substancesand each Environmental Permit is valid, chemical substances, pollutants, contaminants or toxic substances, material or wastes, whether solid, liquid or gaseous subsisting and in nature. Except for such instances as would not, individually or in the aggregate, have a Material Adverse Effectgood standing and, to the Company’s Knowledgebest knowledge of the Corporation, the Corporation is not in material default or breach of any Environmental Permit and, to the best of the knowledge of the Corporation, no proceeding is pending or threatened to revoke or limit any Environmental Permit;
(iii) the Corporation does not have any knowledge of, and have not received any notice of, any material claim, judicial or administrative proceeding, pending or threatened against, or which may affect, either the Corporation or any of the property, assets or operations thereof, relating to, or alleging any violation of any Environmental Laws, the Corporation is not aware of any facts which could give rise to any such claim or judicial or administrative proceeding and neither the Corporation nor any of the property, assets or operations thereof is the subject of any investigation, evaluation, audit or review by any Governmental Authority to determine whether any violation of any Environmental Laws has occurred or is occurring or whether any remedial action is needed in connection with a release of any Contaminant into the environment, except for compliance investigations conducted in the normal course by any Governmental Authority;
(iv) the Corporation has not given or filed any notice under any federal, provincial or local law with respect to any Environmental Activity, the Corporation does not have any material liability (whether contingent or otherwise) in connection with any Environmental Activity and, to the knowledge of the Corporation, no notice has been given under any federal, state, provincial or local law or of any material liability (whether contingent or otherwise) with respect to any Environmental Activity relating to or affecting the Corporation or the property, assets, business or operations thereof;
(v) the Corporation does not store any hazardous or toxic waste or substance on the property thereof and have not disposed of any hazardous or toxic waste, in each case in a manner contrary to any Environmental Laws, and to the best of the knowledge of the Corporation, there are no past Contaminants on any of the premises at which the Corporation carries on business, in each case other than in compliance with Environmental Laws; and
(vi) to the best of the knowledge of the Corporation, the Corporation is not subject to any contingent or present events, conditions, circumstances, incidents, actions or omissions other material liability relating to or in any way affecting the Company or its Subsidiaries that violate or could reasonably be expected to violate any Environmental Law after the Closing Date or that could reasonably be expected to give rise to any environmental liability, or otherwise form the basis of any claim, action, demand, suit, proceeding, hearing, study or investigation (i) under any non- compliance with Environmental Law, or (ii) based on or related to the manufacture, processing, distribution, use, treatment, storage (including without limitation underground storage tanks), disposal, transport or handling, or the emission, discharge, release or threatened release of any hazardous substance.

(c) No enforcement, investigation, cleanup, removal, remediation or wastes, whether solid, liquid response or gaseous in nature. Except for such instances as would not, individually other governmental or in the aggregate, regulatory actions have a Material Adverse Effectbeen asserted or, to the Company’s Knowledge, threatened with respect to operations conducted on the Properties by the Company or against the Company with respect to or regarding the Properties pursuant to any Environmental, Safety and Health Laws.
(d) To the Company’s Knowledge, there are no past or present events, conditions, circumstances, incidents, actions or omissions relating to or in any way affecting the Company or its Subsidiaries business or assets that violate violate, or could would reasonably be expected to violate any Environmental Law after the Closing Date Closing, any Environmental, Safety and Health Laws, or that could would reasonably be expected to give rise to any environmental liability, or otherwise form the basis Environmental Liability.

Except for such instances as would not, not individually or in the aggregate, aggregate have a Material Adverse Effect, to the Company’s Knowledge, there are no past or present events, conditions, circumstances, incidents, actions or omissions relating to or in any way affecting the Company or its Subsidiaries subsidiaries that violate or could reasonably be expected to may violate any Environmental Law after the Closing Date or that could reasonably be expected to may give rise to any environmental liability, or otherwise form the basis of any claim, action, demand, suit, proceeding, hearing, study or investigation (i) under any Environmental Law, or (ii) based on or related to the manufacture, processing, distribution, use, treatment, storage (including without limitation underground storage tanks), disposal, transport or handling, or the emission, discharge, release or threatened release of any hazardous substance. "Environmental Liabilities" means all liabilities of a person (whether such liabilities are owed by such person to governmental authorities, third parties or otherwise) whether currently in existence or arising hereafter which arise under or relate to any Environmental Law.

Environmental Compliance. Except as disclosed Since their inception, neither the Company, nor any of its subsidiaries have been, in violation of any applicable law relating to the Commission Documentsenvironment or occupational health and safety, where such violation would have a material adverse effect on the business or financial condition of any of the Company and its subsidiaries. The Company and its subsidiaries (i) are in compliance with any and all Environmental Laws (as hereinafter defined), (ii) have received all permits, licenses or other approvals required of them under applicable Environmental Laws to conduct their respective businesses and (iii) are in compliance with all terms and conditions of any such permit, license or approval where, in each of its Subsidiaries have obtained all material approvalsthe foregoing clauses (i), authorization(ii) and (iii), certificates, consents, licenses, orders and permits or other similar authorizations of all governmental authorities, or from any other person, that are required under any Environmental Laws, except for any approvals, authorization, certificates, consents, licenses, orders and permits or other similar authorizations the failure of which to obtain does not so comply could be reasonably expected to have, individually or would not have in the aggregate, a Material Adverse Effect. “Environmental Laws” shall mean all applicable laws laws, whether domestic or foreign, including provincial, city, municipal and other laws, relating to the protection of the environment including, without limitation, all requirements pertaining to reporting, licensing, permitting, controlling, investigating or remediating emissions, discharges, releases or threatened releases of hazardous substances, chemical substances, pollutants, contaminants or toxic substances, materials or wastes, whether solid, liquid or gaseous in nature, into the air, surface water, groundwater or land, or relating to the manufacture, processing, distribution, use, treatment, storage, disposal, transport or handling of hazardous substances, chemical substances, pollutants, contaminants or toxic substances, material or wastes, whether solid, liquid or gaseous in nature.
