Notice to the Administrative Agent (i) promptly upon obtaining knowledge The Company and each of the Company Subsidiaries are and, except for matters which have been fully resolved, have been in compliance, in all material respects, with all applicable Environmental Laws, and neither the Company nor any of the Company Subsidiaries has received any unresolved written, or to the Knowledge of the Company, verbal communication from any person or Governmental Entity that alleges that the Company or any of the Company Subsidiaries is not in such compliance with, or has any material violation of any liability under, applicable Environmental Law affecting any Asset or the operations thereof or the operations of any of its SubsidiariesLaws, (ii) promptly upon obtaining knowledge the Company and each of any known releasethe Company Subsidiaries have obtained all environmental, discharge health and safety permits, licenses, variances, exemptions, registrations, approvals and authorizations of all Governmental Entities (“Environmental Permits”) required or disposal necessary pursuant to applicable Environmental Law for the construction and operation of any Hazardous Materials attheir facilities and the conduct of their business and operations, fromand all such Environmental Permits are in full force and effect or, or into any Asset where applicable, a renewal application has been timely filed and is pending agency approval, and the Company and the Company Subsidiaries are, and, except for matters which it reports have been fully resolved, have been, in writing or is legally required to report compliance in writing to any Governmental Authority all material respects with all terms and which is material in amount or nature or which could reasonably be expected to materially adversely affect conditions of the value of such AssetEnvironmental Permits, (iii) promptly upon its receipt of any written notice of material violation of there are no Actions under any Environmental Laws pending or, to the Knowledge of the Company, threatened against the Company or any of the Company Subsidiaries, (iv) there has been no Release of any Hazardous Material that would be reasonably likely to form the basis of any material release, discharge or disposal of Hazardous Materials in violation of Action under any Environmental Laws or any matter that could reasonably be expected to result in an Environmental Action, including a notice or claim of liability or potential responsibility from any third party (including without limitation any federal, state or local governmental officials) and including notice of any formal inquiry, proceeding, demand, investigation or other action with regard to (A) such Loan Party’s or any other Person’s operation of any Asset in compliance with Environmental Laws, (B) Hazardous Materials contamination on, from or into any Asset, or (C) investigation or remediation of off-site locations at which such Loan Party against the Company or any of its predecessors are alleged the Company Subsidiaries or for which the Company or any of the Company Subsidiaries has retained or assumed by contract or, to the Knowledge of the Company, by operation of law any material cost, liability or obligation (excluding reclamation, decontamination, or remediation required under the Environmental Permits), (v) the Company and the Company Subsidiaries have directly not entered into any written agreement or indirectly disposed incurred any legal obligation providing for or requiring them to defend, indemnify or hold harmless any person from or against any material liabilities or costs of such other Person arising out of or related to the generation, manufacture, use, transportation or disposal of Hazardous Materials, or (iv) upon such Loan Party’s obtaining knowledge that any expense or loss has been incurred by such Governmental Authority otherwise arising in connection with or under applicable Environmental Laws, except as required by applicable Laws and Environmental Permits, and (vi) the assessment, containment, removal Company has delivered or remediation otherwise made available complete and correct copies and results of any Hazardous Materials with respect to which such Loan Party environmental audit, assessments and reports (including Phase I environmental site assessments and Phase II environmental site assessments), written notices of violation or liability and environmental sampling data prepared in the past five years in the possession of the Company or any Joint Venture could reasonably be expected of its Subsidiaries pertaining to: (A) any material unresolved liabilities under Environmental Law; (B) any material Hazardous Material contamination in, on, beneath or adjacent to incur any property currently or formerly owned, operated or leased by the Company or any of its Subsidiaries; or (C) the Company’s or any of its Subsidiaries’ material non-compliance with applicable Environmental Laws. Except for liabilities for which the Company has posted financial assurance in the amount of the full liability, none of the Company or the Company Subsidiaries is subject to any material liability relating to (A) the restoration or for which a Lien may be imposed on rehabilitation of land, water or any Asset, provided that notice is required only for any other part of the events described environment, or (B) mine closure, reclamation, remediation or other post-operational requirements. The Company has posted in clauses (i) through (iv) above that could reasonably be expected the time and manner required, the required amount of any reclamation and rehabilitation financial assurance required by applicable Environmental Laws and any Environmental Permits and has completed all progressive reclamation and rehabilitation in the time and manner required by applicable Environmental Laws and any Environmental Permits in respect of any disturbances and activities undertaken by the Company to result in a Material Adverse Effect, could reasonably be expected to result in a material Environmental Action with respect to any Borrowing Base Asset or could reasonably be expected to result in a Lien against any Borrowing Base Assetdate.

(b) neither the Company nor any Subsidiary has received written notice or an Order from any Person regarding any event, condition or circumstance which would reasonably be expected to (i) promptly upon obtaining knowledge prevent compliance by the Company or any Subsidiary, in a material respect, with any Environmental Law or any Permit issued under any Environmental Law and held by the Company or any Subsidiary or (ii) require the amendment, in any material respect, of any Permit issued under any Environmental Law or materially interfere with the timely receipt of any such amendment, in each case, except where such non-compliance, amendment or failure to obtain such amendment would not result in a material violation liability to the Company and the Subsidiaries, taken as a whole;
(c) neither the Company nor any Subsidiary has received written notice that it is responsible for any material Environmental Liabilities arising from (i) any past or present Environmental Condition in, on, under, above or about any of the Real Property or any other real property, (ii) the use, manufacture, distribution, management, handling, transport, treatment, generation, storage, disposal or Release of Hazardous Substances by the Company or any Subsidiary or (iii) the failure of any of the Real Property or any other real property or equipment, buildings or structures to comply with any Environmental Law or any Permit issued thereunder;
(d) neither the Company nor any Subsidiary is subject to any outstanding written notice or Order from, or agreement with, any Governmental Authority or other Person which relates to or arises out of any Environmental Law affecting any Asset or the operations thereof or the operations in respect of any of its Subsidiaries, (ii) promptly upon obtaining knowledge of any known release, discharge or disposal of any Hazardous Materials at, from, or into any Asset which it reports in writing is required or is legally required to report in writing to any Governmental Authority and which is material in amount or nature or which could would reasonably be expected to materially adversely affect incur any material Environmental Liabilities;
(e) the value of such Asset, (iii) promptly upon its receipt of any written notice of material violation of Company and the Subsidiaries have filed all notices required to be filed by them under any Environmental Laws or Law in respect of any material release, discharge or disposal Releases of Hazardous Materials in violation of any Environmental Laws Substances by the Company or any matter that could Subsidiary, except where the failure to file would not reasonably be expected to result in an Environmental Action, including a notice material Liabilities on the part of the Company or claim any Subsidiary;

Notice Give notice in writing to the Administrative Agent (i) promptly upon obtaining knowledge of any material violation of any Environmental Law affecting any Asset or the operations thereof or the operations of any of its Subsidiaries, (ii) promptly upon obtaining knowledge of any known release, discharge or disposal of any Hazardous Materials at, from, or into any Asset which it reports in writing or is legally required to report in writing to any Governmental Authority governmental authority and which is material in amount or nature or which could reasonably be expected to materially adversely affect the value of such Asset, (iii) promptly upon its receipt of any written notice relating to any Asset or the operations thereof or the operations of any Loan Party of material violation of any Environmental Laws or of any material release, discharge or disposal of Hazardous Materials in violation of any Environmental Laws or any matter that could reasonably be expected to result in an Environmental Action, including a notice or claim of liability or potential responsibility from any third party (including without limitation any federal, state or local governmental officials) and including notice of any formal inquiry, proceeding, demand, investigation or other action with regard to (A) such Loan Party’s 's or any other Person’s 's operation of any Asset in compliance with Environmental Laws, (B) Hazardous Materials contamination on, from or into any Asset, or (C) investigation or remediation of off-site locations at which such Loan Party or any of its predecessors are alleged to have directly or indirectly disposed of Hazardous Materials, or (iv) upon such Loan Party’s 's obtaining knowledge that any expense or loss has been incurred by such Governmental Authority governmental authority in connection with the assessment, containment, removal or remediation of any Hazardous Materials with respect to which such Loan Party or any Joint Venture could reasonably be expected to incur material liability or for which a Lien may be imposed on any Asset, provided that notice is required only for any of the events described in clauses (i) through (iv) above that could reasonably be expected to result in have a Material Adverse Effect, could reasonably be expected to result in a material Environmental Action with respect to any Borrowing Base Asset or could reasonably be expected to result in a Lien against any Borrowing Base Asset.
