EPB’s Obligations. EPB agrees to provide, at its cost, all necessary maintenance for the Community Solar Array. EPB shall be responsible for ensuring that the Community Solar Array and each of its components meet all applicable codes, standards, and regulatory requirements at the time of installation and throughout the Term. In the event of equipment failure, EPB will bring the equipment back to working order as quickly as is reasonably possible. EPB is not responsible for any lost Solar Panel kWh Output Credits due to the Community Solar Array being out of service.
EPB’s Obligations i. EPB agrees to provide support for the PROJECT by seeking funding for the PROJECT. Specifically, EPB agrees to request the Mayor’s Budget Review Committee (“MBRC”) to approve the Project and the City Council to appropriate $50,000.00 from the Environmental Protection Fund (“Fund”) to fund the PROJECT, subject to the terms set forth herein. ii. Subject to the terms and conditions set forth below and elsewhere in this agreement, and provided that all payments are subject to lawful appropriation of funds by City Council, the EPB agrees to fund an amount not to exceed $50,000. 1. The funding will be paid out to MCSD for project costs incurred and paid by MCSD. 2. The EPB’s payment obligations under this agreement shall not exceed $50,000. 3. In order to be reimbursable under this agreement, project costs must be reasonably consistent with the project budget, which may be reasonably amended by MCSD in good faith as circumstances may allow or dictate. In the event the project budget is amended by MCSD, MCSD shall first discuss the matter with the City, and following amendment, timely provide an amended project budget to the City. 4. All draw request submitted by MCSD will be reviewed jointly by EPB staff and appropriate staff from the Public Works Department of the City before disbursement. iii. EPB further agrees to use its best efforts to share information about the PROJECT with the public.
EPB’s Obligations a. EPB agrees to provide support for the Project by seeking funding for the Project. Specifically, EPB agrees to request the Mayor’s Budget Review Committee (“MBRC”) and, if approved by MBRC, the City Council to appropriate $100,000.00 from the Environmental Protection Fund (the “Fund”) to fund the Project, subject to the terms set forth herein and to the availability of lawfully appropriated funds. b. To the extent that it is lawfully appropriated by City Council, EPB will disburse the funding set forth in Subsection 3.a. above (the “Funding”) pursuant to the following payment schedule, as outlined in Schedule B: i. Following final approval of the appropriation, $50,000.00 shall be disbursed by EPB from the fund to GWJ upon review and acceptance of the consultant RFQ and development of the Community Engagement Plan. ii. The balance of the funding shall be disbursed upon review and acceptance of documentation that GWJ has: a. Secured at least $94,000 in private and other donations to ensure that the ecological restoration plans are completed to 30%. b. Expended at least $100,000 toward the project. c. EPB further agrees to use its best efforts to promote the Project and share information about the Project with the public.
