Common use of Equal and Ratable Benefit Clause in Contracts

Equal and Ratable Benefit. The Loans and Commitments established pursuant to this Section 2.23 shall constitute Loans and Commitments under, and shall be entitled to all the benefits afforded by, this Agreement and the other Loan Documents, and shall, without limiting the foregoing, benefit equally and ratably from the Guarantees and security interests created by the Security Documents. The Loan Parties shall take any actions reasonably required by the Administrative Agent to ensure and/or demonstrate that the Lien and security interests granted by the Security Documents continue to be perfected under the UCC, the PPSA or otherwise after giving effect to the establishment of any such Incremental Term Loan Commitments or any such new Term Loans.

The Loans and Commitments established pursuant to this Section 2.23 2.20 shall constitute Loans and Commitments under, and shall be entitled to all the benefits afforded by, this Agreement and the other Loan Documents, and shall, without limiting the foregoing, benefit equally and ratably from the Guarantees and security interests created by the Security Documents. The Loan Parties shall take any actions reasonably required by the Administrative Agent to ensure and/or demonstrate that the Lien and security interests granted by the Security Documents continue to be perfected under the UCC, the PPSA UCC or otherwise after giving effect to the establishment of any such Incremental Term Loan Commitments or any such new Term LoansCommitments.

The Loan Parties shall take any actions reasonably required by the Administrative Agent to ensure and/or demonstrate that the Lien and security interests and other Liens granted by the Security Documents continue to be perfected under the UCC, the UCC or PPSA or otherwise after giving effect to the establishment of any such Incremental Term Loan Commitments new Loans or any such new Term LoansCommitments.

The Loans and Commitments established pursuant to this Section 2.23 2.15 shall constitute Loans and Commitments under, and shall be entitled to all the benefits afforded by, this Agreement and the other Loan Documents, and shall, without limiting the foregoing, benefit equally and ratably from the Guarantees Guaranty and security interests created by the Security Collateral Documents. The Loan Parties shall take any actions reasonably required by the Administrative Agent and/or the Collateral Agent to ensure and/or demonstrate that the Lien and security interests granted by the Security Collateral Documents continue to be perfected under the UCC, the PPSA UCC or otherwise after giving effect to the establishment of any such Incremental Term Loan Commitments Class of Loans or any such new Term LoansCommitments.

The New Loans and New Commitments established pursuant to this Section 2.23 shall constitute Loans and Commitments under, and shall be entitled to all the benefits afforded by, this Agreement and the other Loan Credit Documents, and shall, without limiting the foregoing, benefit equally and ratably from the Guarantees and security interests created by the Security DocumentsCollateral Documents and the guarantees of the Guarantors. The Loan Credit Parties shall take any actions reasonably required by the Administrative Agent to ensure and/or demonstrate that the Lien and security interests granted by the Security Collateral Documents continue to be perfected under the UCC, the PPSA UCC or otherwise after giving effect to the establishment of any such Incremental Term Loan Commitments Class of New Loans or any such new Term LoansNew Commitments.

Equal and Ratable Benefit. The Loans and Commitments established pursuant to this Section 2.23 2.08 shall constitute Loans and Commitments under, and shall be entitled to all the benefits afforded by, this Agreement and the other Loan Documents, and shall, without limiting the foregoing, benefit equally and ratably from the Guarantees Guaranty Agreement and security interests created by the Security Collateral Documents. The Loan Parties shall take any actions reasonably required by the Administrative Agent to ensure and/or demonstrate that the Lien and security interests granted by the Security Collateral Documents continue to be perfected under the UCC, the PPSA UCC or otherwise after giving effect to the establishment of any such Incremental Term Loan Commitments or any such new Term LoansCommitments.

The Loans and Commitments established pursuant to this Section 2.23 2.18 shall constitute Loans and Commitments under, and shall be entitled to all the benefits afforded by, this Agreement and the other Loan Documents, and shall, without limiting the foregoing, benefit equally and ratably from the Guarantees guaranties and security interests created by the Security Documents. The Loan Parties shall take any actions reasonably required by the Administrative applicable Agent to ensure and/or demonstrate that the Lien and security interests granted by the Security Documents continue to be perfected under the UCC, UCC or the PPSA PPS Law or otherwise after giving effect to the establishment of any such Incremental Term Loan Commitments Class of Loans or any such new Term LoansCommitments.

The Loans Commitments and Commitments term loans established pursuant to this Section 2.23 shall constitute Loans Commitments and Commitments Credit Extensions under, and shall be entitled to all the benefits afforded by, this Agreement and the other Loan Documents, and shall, without limiting the foregoing, benefit equally and ratably from the Guarantees Guaranty and the security interests created by the Security Documents. The Loan Parties shall take any actions reasonably required by the Administrative Agent to ensure and/or demonstrate that the Lien and security interests granted by the Security Documents continue to be perfected under the UCC, the PPSA UCC or otherwise after giving effect to the establishment of any such new Commitments or the Incremental Term Loan Commitments or any such new Term LoansFacility, as applicable.
