Equality and conflicts of interest. (a) The VPS Trustee shall not make decisions which will give certain VPS Noteholders an unreasonable advantage at the expense of other VPS Noteholders. The VPS Trustee shall, when acting pursuant to this Agreement and the VPS Conditions, act with regard only to the interests of the VPS Noteholders and shall not be required to have regard to the interests or to act upon or comply with any direction or request of any other person, other than as explicitly stated in this Agreement or the VPS Conditions.
