Equator Principles. The Administrative Agent shall have received all documentation requested by the Administrative Agent that is necessary to evidence compliance with, and otherwise required in connection with, the Equator Principles.
Equator Principles. 20.4.1. The Borrower shall:
20.4.1.1. comply, and ensure that the Project complies, in all material respects with the Equator Principles at all times; and
20.4.1.2. provide the Facility Agent with all information that the Facility Agent requires from time to time (acting reasonably) to evidence that the Project complies in all material respects with the Equator Principles Requirements at all times.
Equator Principles. 16.32.1 Subject to the provisions of this Clause 16.32 (Equator Principles), the Borrower shall comply with Environmental Guidelines.
16.32.2 Subject to Clause 16.32.3 below, the Banks acknowledge and agree that if the Borrower complies with the terms of the Environmental Operating Permit (in the form applicable at the date of this Agreement or in more stringent terms) then it will be treated as in compliance with its obligations under Clause 16.32.1.
16.32.3 The Borrower acknowledges that if the Environmental Operating Permit is amended and/or replaced so that the terms of the amended Environmental Operating Permit (or the replacement) are less stringent with respect to the protection of the environment than the Environmental Operating Permit in place at the date hereof, the Borrower and the Agent (acting on the advice of the Technical Adviser) shall meet in good faith to devise a proposed course of action so as to ensure that any resulting changes to the operating and reporting procedures of the Borrower will be in compliance with the Environmental Guidelines.
Equator Principles. (i) With respect to the Emerald RNG Project, as of the Closing Date, to the knowledge of the Borrower, the Emerald RNG Project is in compliance in all material respects with the Equator Principles, (ii) with respect to the Sapphire RNG Project, as of the initial Borrowing Date for the Sapphire RNG Project, to the knowledge of the Borrower, the Sapphire RNG Project is in compliance in all material respects with the Equator Principles and (iii) with respect to each Incremental Project, as of the Inclusion Date for such Project, to the knowledge of the Borrower, such Project is in compliance in all material respects with the Equator Principles.
Equator Principles. Borrower shall (a) comply in all material respects with the Equator Principles to the extent the Equator Principles apply to the Borrower and each Project and (b) supply such available information and confirmation by the Independent Engineer and take all actions reasonably requested by such Xxxxxxx as subscribing Equator Principles Financial Institution in connection with such Xxxxxxx’ reporting obligations under the Equator Principles, and Borrower hereby consents to reporting of each Project’s name and such other information as may be reasonably requested by such Lenders pursuant to Xxxxx XX of the Equator Principles.
Equator Principles. In general, to comply throughout the term of this Agreement with the obligations arising from compliance with the Equator Principles.
Equator Principles. To the knowledge of the Borrower, the Development is in compliance in all material respects with the Equator Principles applicable to the Development, other than, prior to the earlier of the start of major offshore construction activities and April 1, 2022 only, the matters set forth in the Equator Principles Action Plan attached as Schedule 5.24 (the “Equator Principles Action Plan”).
Equator Principles. To the knowledge of the Borrower, each Project is in compliance in all material respects with the Equator Principles.
Equator Principles. Borrower shall (a) comply in all material respects with the Equator Principles to the extent the Equator Principles apply to the Borrower and each Project and (b) supply such available information and confirmation by the Independent Engineer and take all actions reasonably requested by such Lenders as subscribing Equator Principles Financial Institution in connection with such Lenders’ reporting obligations under the Equator Principles, and Borrower hereby consents to reporting of each Project’s name and such other information as may be reasonably requested by such Lenders pursuant to Annex II of the Equator Principles. Equator Principles. (a) Project Manager shall use commercially reasonable efforts to obtain from Project Contractors their adherence to Equator Principles during performance of their respective Work under the Project Contracts; provided, however, that (i) Project Manager shall not be liable to the Company for any failure of the Project to be constructed and operated in accordance with Equator Principles and (ii) Project Manager shall not be obligated to amend any Project Contract by Change Order or otherwise to cause such Project Contractor to comply with the Equator Principles.
(b) Project Manager shall reasonably cooperate with the Company in responding to any reasonable requests for information related to compliance with the Equator Principles from any IESC and, subject to clause (a) above, shall use commercially reasonable efforts to address any material non-compliance with the Equator Principles identified by the IESC.
