Equipment and Personal Property. All equipment and personal property procured with Agreement funds will be used for the purpose of this Agreement, and Contractor will adhere to procedures and recording requirements as required by County and 45 CFR Part 74 and Part 95.705. Contractor shall establish a control system to ensure adequate safeguards to prevent loss, damage, or theft to property, including equipment purchased with Agreement funds. If Contractor should no longer provide services under this Agreement, the equipment and property will be returned to County. All property including computer software, hardware, equipment, furniture, motorized items, and fixed assets purchased with County funds will be returned to County following the termination of this Agreement. These items, when purchased with County prior approval, shall be tagged with County inventory tags upon purchase.

Thirty (30) days prior to the termination of this Agreement, all Contractor-owned property will be segregated from County-owned property. An inventory will be conducted by Contractor and the Merced County Human Services Agency for County-owned equipment, food/supplies, and technical data/documentation. Inventories of each of these three categories will be verified. Contractor agrees to comply with all rules, regulations, requirements, and directives of CDSS, which impose duties and limitations upon the Merced County Human Services Agency, which are equally applicable to and made binding upon Contractor, as though made with Contractor directly.

(b) Subject to and without limiting Section 3.07(a), to the extent the Assets constitute personal property or fixtures, Seller expressly disclaims and negates (a) any implied or express warranty of merchantability, (b) any implied or express warranty of fitness for a particular purpose, (c) any implied or express warranty of conformity to models or samples of materials, and (d) any other warranty of any nature, express or implied, except as expressly provided herein, and all such Assets are to be conveyed "As Is" and "Where Is," with all faults.

Equipment and Personal Property. Except as set forth on Schedule 5.20, to Seller’s Knowledge the Equipment and the Central Facilities are in an operable state of repair adequate to maintain normal operations in accordance with the methods and practices of a prudent operator of oil and gas properties in Xxxxxx County, Texas, ordinary wear and tear excepted. Seller or, to Seller’s Knowledge, the respective operator of the Oil and Gas Properties, has all material easements, rights of way, licenses and authorizations, from Governmental Authorities and Non-Parties necessary to access, construct, operate, maintain and repair the Equipment and the Central Facilities in the ordinary course of business as currently conducted and in material compliance with all Laws, except such failures would not individually or in the aggregate have a Material Adverse Effect.

Equipment and Personal Property. Schedule 3.19 sets forth a complete and accurate description of all equipment and personal property owned by Company as well as all leases or loans pursuant to which Company acquired personal property. All equipment and personal property used by Company is either (a) owned, free and clear of all Liens, or (b) used under operating leases or promissory notes and described in Schedule 3.19. All such leases and loans are valid and in full force and effect and enforceable in accordance with their terms. Company has not received any notice of and there exists no event of default, or event, occurrence, condition or act, including the execution and delivery of this Agreement and the Related Agreements and the consummation of the transactions contemplated hereby and thereby, that constitutes or would constitute (with or without the giving or receipt of notice or the passage of time or both) a default in any respect, or give rise to a right of acceleration, cancellation or termination, under any such lease. All of the equipment and tangible personal property owned or leased by Company is in good operating condition and repair (taking into account the age of such equipment), subject to normal wear and tear.

Equipment and Personal Property. Except as described in Schedule 2.18, all equipment and tangible personal property used by the Company or any Subsidiary are either owned, free and clear of all liens and encumbrances, or are (i) used under capital leases reflected on the Financial Statements or (ii) used under operating leases. All such leases are valid and in full force and effect and enforceable in accordance with their terms and have not been further supplemented, amended or modified. Neither the Company nor any Subsidiary has received any notice of, and there exists no event of default, or event, occurrence, condition or act, including, without limitation, the execution and delivery of this Agreement and the consummation of the transactions contemplated herein, which constitutes or would constitute (with notice or lapse of time or both) a default in any respect under any such lease. All of the equipment and tangible personal property owned or leased by the Company and each Subsidiary is in good operating condition and repair, subject to normal wear and tear, none of such assets is in need of maintenance or repairs except for ordinary, routine maintenance and such assets are suitable for and operating according to their intended use in accordance with industry standards.
