Equity-Based Compensation Plan. Except as set forth in Schedule 5.5(i), Stockholder shall take all reasonable action to cause all Applicable Employees to be fully vested in, and receive payment of, their equity-based compensation awards under Stockholder’s equity-based compensation plan prior to the Closing.
