Common use of Equity Documents Clause in Contracts

Equity Documents. Receipt by the Administrative Agent of a certificate signed by a Responsible Officer of the Borrower attaching executed copies of each document necessary to effectuate the Share Purchase Agreement and authorize the Borrower’s entry into the ROFR Side Letter, including, without limitation, (i) the Restated Articles, (ii) the Rights Agreement, (iii) the Voting Agreement and (iv) ROFR Agreement, in each case as such terms are defined in the Share Purchase Agreement and in form and substance satisfactory to the Lenders.
