Equity Incentive Plan. Executive represents and certifies that Executive has carefully reviewed the Company's 2003 Management Equity Incentive Plan (the "Equity Incentive Plan"), a copy of which is attached as Exhibit C hereto and is entering into this Agreement in reliance upon the terms thereof.
